Roger is a commercial lawyer and litigator with over a decade’s experience in managing large scale and complex matters. Prior to establishing OLG and Ouk + Digital, he worked in private practice in Australia and Hong Kong with one of the world’s largest law firms.
Roger is strategic in delivering enterprise value driven solutions. He works closely with software engineers and designers to develop innovative products and/or processes to enhance his client’s legal position.
He has extensive experience in negotiating, drafting and advising on a broad range of legal issues. As a commercial litigator who has represented private and publicly listed companies in the Supreme Court of Victoria, Federal Court of Australia and High Court of Hong Kong, he leverages that expertise in his contractual negotiations.
LEGAL PROCESS INNOVATION
Roger helps in house legal teams leverage emerging technologies and new practices to improve the delivery of legal services. Key focus areas include shortening contract cycle negotiating and review times, reducing volume of incomplete documents submitted for legal review and increasing the breadth and depth of legal knowledge within the organisation.
COMMERCIAL EXPERIENCE
§ Advising a Fortune 50 software vendor with respect to drafting, negotiating and updating its suite of commercial licensing agreements.
§ Acting as outsourced Corporate Counsel for a global software company currently ranked in the top 5 worldwide (with offices Melbourne, USA and UK) for the provision of business intelligence software and services. Roger is also the Company Secretary. The practice has been responsible for drafting the suite of template commercial contracts, advising on corporate structure, resolving commercial disputes, drafting and implementing the employee share scheme, advising and negotiating loan and funding agreements, handling trademark and IP issues, amongst other matters.
§ Establishment of a managed fund with approximately AUD 5 billion of assets under management. Ouk Legal Group advised on and drafted the suite of documents regarding its establishment and the subsequent admission of new partners.
§ Acting for an Australian subsidiary of a publicly listed Japanese company in its acquisition of a subsidiary of an Australian publicly listed company carrying on an IT consultancy business valued in excess of AUD100 million.
§ Acting for an energy company in the competitive bid process for the purchase of the State Government’s wind farm assets valued at over AUD430 million. Roger managed over 70 lawyers in the process.
§ Acting for an Australian company in its joint venture with various international parties to develop a shopping centre valued at over AUD100 million, including review and drafting of various commercial agreements.
§ Acting for a large family group on the restructure of their companies valued at $70 million.
LITIGATION EXPERIENCE
§ Acting for a Fortune 20 company in an action against an Australian listed entity with respect to breach of contract.
§ Acting for a listed entity with respect to various claims made against it with respect to software and services for a New Zealand government department.
§ Acting for a global industrial company in a successful Supreme Court of Victoria litigation action for breach of director's duties, fraud and deceit by the Managing Director of the Australian subsidiary.
§ Representing a global travel company with respect to sensitive commercial issues of public interests including redrafting its global contract, claims in the context of COVID-19 and liaising with the Australian Competition and Consumer Commission.
§ Acting for a global company in USD1.5 billion claims arising from Queensland floods.
§ Acting for a global accounting practice with respect to breach of contract and professional negligence claims totaling HKD 50 million.
§ Acting for an insurer in relation to claims by the liquidator of a publicly listed Hong Kong company against a former non-executive director for breach of director’s duties seeking damages in excess of HKD 1 billion.
